Takeover PlantijnCasparie by Thieme GrafiMedia Groep completed

Following its press release of 20 June 2005, RSDB announces that a definitive agreement was reached with Thieme GrafiMedia Groep concerning the transfer of PlantijnCasparie, effective as from 12 September 2005.

The transaction concerns the sheet-fed printing activities of PlantijnCasparie in Almere, Amsterdam, Capelle a/d IJssel, The Hague, Groningen, Nieuwegein/IJsselstein and Zwolle as well as PlantijnCasparie Data in Deventer, PlantijnCasparie Digital Print in Amsterdam and the Grafisch Produktie Bureau in Leiderdorp. In full-time equivalents, the takeover involves 425 employees.

PlantijnCasparie will continue to operate as one group of companies with its own identity. After the takeover, Thieme GrafiMedia Groep will be the market leader in business to business sheet-fed printing services. The transaction, which will take place at net asset value whereby RSDB will contribute EUR 3.5 million to financing, forms an important step towards the realisation of the revised business model which was presented in October 2004. The model places the core activities in two business lines: Print Productions and Marketing Communications.

In view of the link of PlantijnCasparie Eindhoven and PlantijnCasparie Utrecht with the web offset activities of Roto Smeets, both these companies will be placed in the business line Print Productions as Roto Smeets GrafiServices.

A new management team at Ten Klei in Purmerend has started a recovery operation, while discussions have been initiated with possible buyers with regard to realising the planned and announced divestment of Ten Klei.
