RSDB and Kaspar Group sign declaration of intent on takeover of Ten Klei, Purmerend

In October 2005 it was stated that talks were being held on the sale of Ten Klei DM Service Center in Purmerend, as a result of the strategic reorientation of RSDB.

Today RSDB and Kaspar Group signed a declaration of intent, resolving to transfer the shares of Kleihold B.V. to Kaspar Group B.V. as of 8 September 2006. It is the intention of the Kaspar Group to come to terms with the present management concerning the continuation of their employment after the take-over.

This planned transaction forms the final stage of the PlantijnCasparie disinvestment
process that was initiated in 2004.

Ten Klei DM is a leading Direct Marketing organisation, fully experienced and familiar with the entire DM process, from database management to warehousing and fulfilment.

The Kaspar Group is an investment company that takes positions in medium sized companies in the Netherlands, with two core businesses: Kaspar Venture Management (participation in existing companies) and The Start Up Company
(start-ups for corporate partners).

The takeover of Ten Klei is inspired by the potential synergy envisaged with the Kaspar Group’s other activities in this sector.

The Works Council, employees, trades unions and the Social and Economics Council (SER) will be informed today of this resolution.
